By accessing or using DealSignal AI at getdealsignal.ai, you agree to be bound by these Terms of Service. If you do not agree, do not use the service. These terms apply to all users including free tier, one-time payment, and subscription customers.

The analyses, risk scores, redline suggestions, covenant calculations, negotiation guidance, and financial estimates produced by DealSignal are generated by artificial intelligence and may be incomplete, inaccurate, or inapplicable to your specific situation. AI-generated content can contain errors and hallucinations.

You should always consult a qualified attorney before making binding legal decisions based on any contract. DealSignal is designed to help you ask better questions and identify areas to explore — not to replace professional judgment.

DealSignal's outputs depend on two things: (1) the quality and completeness of the contract text you submit, and (2) the accuracy of any financial inputs you provide (such as EBITDA, debt, and cash figures). Incomplete contracts, ambiguous language, or incorrect inputs will produce outputs that may be misleading or incorrect.

DealSignal does not independently verify any information you submit. All outputs are provided "as is" without warranty of accuracy, completeness, or fitness for any particular purpose. DealSignal does not guarantee that its analysis captures all material risks in a given contract.

Risk scores, financial exposure ranges, and negotiation recommendations are illustrative estimates. They should not be treated as definitive assessments of risk, value, or legal obligation.

To the maximum extent permitted by applicable law, DealSignal AI and its operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages of any kind arising from your use of the service — including but not limited to:

• Financial loss or liability resulting from contract decisions made using DealSignal's output
• Covenant breaches or lender enforcement actions arising from reliance on DealSignal's covenant analysis
• Career or business harm resulting from contract decisions
• Legal liability or professional sanctions arising from any DealSignal output
• Loss of data or unauthorized access to your content

Our total aggregate liability to you for any and all claims arising from your use of the service shall not exceed the total amount you paid to DealSignal in the 12 months immediately preceding the claim. If you have not paid us anything, our liability is capped at $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

Free tier: Up to 3 contract analyses without payment. Usage is tracked in your browser's local storage.

Paid tiers: One-time analyses ($49) and monthly subscriptions ($99/month) are available. Payments are processed by Stripe. Subscriptions renew automatically and can be cancelled at any time.

Refunds: One-time analyses are non-refundable once the analysis has been delivered. Monthly subscriptions cancelled mid-cycle retain access through the end of the billing period. Refund requests handled case-by-case — contact support@getdealsignal.ai.

You retain full ownership of any contract text or documents you submit. By submitting content, you grant DealSignal a limited, temporary license to process that content solely for the purpose of generating your analysis. This license terminates when your session ends.

You represent and warrant that: (a) you have the legal right to submit any content you upload; (b) submitting the content does not violate any confidentiality obligation, non-disclosure agreement, or third-party right; and (c) you are not submitting content that is illegal or that you are prohibited from sharing.

We do not store your contract text on our servers. We do not use your contract content to train AI models. We do not share your contract content with third parties except as necessary to process your analysis through Anthropic's API.

You agree not to:

• Use DealSignal for any unlawful purpose or in violation of applicable law
• Submit content containing confidential information you are not authorized to share
• Attempt to reverse engineer, scrape, or extract underlying AI prompts or models
• Use automated scripts or bots to run analyses at scale
• Resell or redistribute DealSignal's output as your own product or service without written permission
• Present DealSignal outputs as professional legal, financial, or accounting opinions
• Circumvent usage limits, paywalls, or access controls

You agree to indemnify, defend, and hold harmless DealSignal AI and its operators from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) your violation of these terms; (c) your violation of any third-party rights; or (d) any decisions you make based on DealSignal's output.

These terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts of Colorado. You waive any objection to jurisdiction or venue in such courts. DealSignal AI LLC is a Colorado limited liability company.

We reserve the right to modify these terms at any time. Material changes will be communicated via email to registered users. Continued use of DealSignal after changes constitutes acceptance of the updated terms. The current version is always available at getdealsignal.ai/privacy.html.
